DEFINITIONS, INTERPRETATION & SCOPE

For the purpose of clarity, consistency, and legal interpretation, the following definitions shall apply throughout this document. Words importing the singular shall include the plural and vice versa. Headings are for convenience only and shall not affect interpretation.

“User”, “You”, “Your” refers to any natural person or legal entity who accesses, visits, browses, registers, communicates with, or transacts through the Platform, whether such interaction is active or passive, paid or unpaid.

“Platform” includes the Website, subdomains, mobile applications, APIs, backend systems, customer portals, dashboards, communication channels, and any digital interface operated or controlled by Hoopoe Bikes.

“Products” refers to all electric bicycles, electric mobility products, components, batteries, chargers, spare parts, accessories, software-enabled features, merchandise, and any future products designed, manufactured, marketed, or sold by Hoopoe Bikes.

“Services” include but are not limited to product information, test ride facilitation, order placement, EMI or financing facilitation, customer support, service scheduling, warranty management, software features, GPS or tracking-related services (where applicable), and post-sale engagement.

“Confidential Information” means all information provided by the User or collected by the Company, whether directly or indirectly, including personal, technical, financial, transactional, behavioral, or location-based data.

Any ambiguity in interpretation shall be resolved in a manner that protects the legitimate business interests of Hoopoe Bikes while remaining compliant with applicable Indian law.

CONFIDENTIALITY

Hoopoe Bikes recognizes that trust is fundamental to its relationship with Users and is committed to maintaining the confidentiality and security of all information shared through or collected via the Platform. All information provided by the User, whether during account creation, order placement, communication with customer support, or use of services, shall be treated as Confidential Information unless expressly stated otherwise.

Confidential Information includes, but is not limited to, personal identification details, contact information, delivery addresses, payment-related references, order history, communication records, technical data, usage behavior, and any other information that may reasonably be linked to the identity or activity of the User. Such information is collected solely for legitimate business purposes, including but not limited to order processing, service delivery, customer support, regulatory compliance, product improvement, and internal analytics.

Hoopoe Bikes shall not disclose Confidential Information to any third party except where such disclosure is necessary for the performance of services, including logistics partners, payment processors, financing partners, technology service providers, or authorized employees and contractors who are bound by confidentiality obligations. The User acknowledges that limited sharing of information with such parties is essential for the functioning of the Platform and delivery of Products and Services.

While Hoopoe Bikes implements reasonable administrative, technical, and organizational safeguards to protect Confidential Information, the User acknowledges that no electronic system is entirely immune from security risks. Hoopoe Bikes shall not be held liable for unauthorized disclosures resulting from events beyond its reasonable control, provided it has exercised due care and diligence in protecting such information.

User Responsibility

By accessing or using the Website, the User agrees to act responsibly, lawfully, and ethically.

The User must not:

Attempt to obtain, misuse, store, or share personal or confidential information of other users, including login credentials, contact details, transaction data, or location information, except where permitted by law.
Access or use another person’s account without their prior authorization.
Upload, publish, transmit, or engage in content or conduct that is unlawful, abusive, threatening, defamatory, obscene, misleading, or otherwise objectionable.
Promote or facilitate illegal activities, including but not limited to fraud, gambling, financial crimes, or unauthorized commercial solicitation.

Any violation of the above may result in suspension or permanent termination of access, without prior notice.

Intellectual Property

All intellectual property associated with the Platform, Products, and Services of Hoopoe Bikes, including but not limited to trademarks, brand names, logos, designs, product aesthetics, software, source code, content, text, images, graphics, videos, technical documentation, and overall look and feel of the Platform, are the exclusive property of Hoopoe Bikes Private Limited or its licensors.

The User is granted a limited, non-exclusive, non-transferable, and revocable right to access and use the Platform solely for personal and lawful purposes related to viewing information, placing orders, and availing services offered by Hoopoe Bikes. This limited permission does not confer any ownership rights or intellectual property interest in any content or materials made available on the Platform.

The User shall not copy, reproduce, modify, distribute, transmit, display, publish, reverse engineer, or commercially exploit any part of the Platform or Products without the prior written consent of Hoopoe Bikes. Any unauthorized use of the Company’s intellectual property, including imitation of product designs, branding, or business concepts, shall be treated as a violation of applicable intellectual property laws and may result in civil and criminal action.

All rights not expressly granted under these Terms are reserved by Hoopoe Bikes.

Delivery & Shipping

Hoopoe Bikes undertakes reasonable commercial efforts to ensure that all Products ordered through the Platform are processed, shipped, and delivered in a timely and professional manner. Delivery timelines communicated on the Platform, through customer communication, or at the time of order placement are indicative estimates only and may vary based on factors such as product availability, customization requirements, location of delivery, logistics partner performance, regulatory approvals, and circumstances beyond the reasonable control of the Company.

The User acknowledges that electric mobility products may require additional handling, quality checks, pre-dispatch inspections, battery safety compliance, and documentation prior to shipment. Accordingly, shipping timelines for such Products may differ from conventional consumer goods. Hoopoe Bikes shall not be held liable for delays arising due to manufacturing schedules, transportation constraints, supply chain disruptions, force majeure events, or governmental restrictions.

Delivery shall be deemed complete once the Product is delivered to the address provided by the User or handed over to an authorized representative of the User. The User is responsible for ensuring the accuracy and completeness of delivery details. Hoopoe Bikes shall not be responsible for delays, losses, or misdeliveries resulting from incorrect or incomplete address information provided by the User.

Risk of loss or damage to the Product shall pass to the User upon successful delivery. The User is advised to inspect the Product at the time of delivery and promptly notify Hoopoe Bikes of any visible damage, missing components, or discrepancies within the timeframe specified by the Company. Failure to report such issues within the stipulated period may be construed as acceptance of the Product in good condition.

In cases where delivery is attempted but cannot be completed due to unavailability of the User, refusal to accept delivery, or failure to provide necessary documentation or access, Hoopoe Bikes reserves the right to reschedule delivery, levy additional delivery charges, or cancel the order in accordance with its internal policies.

RETURNS & CANCELLATIONS

Returns, cancellations, and refunds for Products or Services purchased through the Platform shall be governed exclusively by the Return & Cancellation Policy, which shall be made available on the Website and may be updated from time to time.

Any request for return or cancellation must be made strictly in accordance with the timelines, conditions, and procedures specified in the applicable policy. Hoopoe Bikes reserves the right to inspect returned Products and to approve or reject requests based on compliance with the stated policy.

Approved refunds, where applicable, shall be processed through the original mode of payment or such other method as determined by Hoopoe Bikes, subject to reasonable processing timelines and third-party payment system constraints.

Legal Jurisdiction

These Terms, and any dispute, claim, or controversy arising out of or in connection with the use of the Platform, Products, or Services of Hoopoe Bikes, shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

The Parties agree that any dispute shall, in the first instance, be resolved through good faith discussions and amicable settlement. Where such resolution is not possible, the dispute may be referred to arbitration in accordance with the provisions of the Arbitration and Conciliation Act, 1996, as amended from time to time. The seat and venue of arbitration shall be in India, and the proceedings shall be conducted in the English language.

Subject to the foregoing, and in the event that disputes are required to be resolved through litigation, the courts of Belagavi, Karnataka shall have exclusive jurisdiction. The User expressly consents to such jurisdiction and waives any objection to the same on grounds of inconvenience or otherwise.

Changes to These Terms

Hoopoe Bikes Private Limited reserves the right to revise, modify, amend, or update these Terms & Conditions at its discretion and at any time. Any such changes shall become effective immediately upon being published on the Website. Continued access to or use of the Platform after such updates shall be deemed to constitute acceptance of the revised Terms. Users are encouraged to review this section periodically to stay informed of any changes.
